Cuando el poder de representación ha cesado por la muerte del poderdante y el apoderado lo sigue utilizando, como si subsistiera, se plantea la cuestión de si el contrato concertado por este último con el tercero que ignora de buena fe la extinción del poder vincula a los herederos del poderdante, o si se requiere para ello, además, que el apoderado desconociera, con buena fe, la extinción del poder. Se analizan en este estudio los arts. 1734 y 1738 CC, la jurisprudencia que los aplica y la doctrina que los interpreta, y se concluye que para que el contrato concertado con el tercero vinculara a los herederos del poderdante no es necesaria la buena fe del apoderado, sino que es suficiente la buena fe del tercero. Esta solución es coherente con la existencia en nuestro Derecho de un principio informador de protección de la apariencia en los casos de representación.

The illiterate interpretation of article 1738 and the apparent authority

When the power of attorney is terminated by the death of the principal and the grantee continues to use it, as if it subsisted, arises the question of determining whether the contract made by the latter with the third party that ignores in bona fide the termination of the power links also the heirs of the grantor, or if it to do so, is required moreover, that the grantee was unaware, in good faith, of the extinction of power of attorney. We analyse articles 1734 and 1738 of the Spanish Civil Code, the jurisprudence and doctrine which interpret these legal provisions, and we conclude that no good faith is needed on the grounds of the grantee as to link the contract celebrated with the third party to the grantor’s heirs. This solution is coherent with the existence in the Spanish legal system of an informative principle of protection of the legal appearance in representation matters.
