El derecho de retención sobre bienes muebles
Una garantía en ascenso

El derecho de retención posesoria sobre bienes muebles es regulado en los Códigos civil y de comercio españoles de una forma fragmentaria y casuística, en una serie de artículos que se han mantenido a lo largo de los años al margen de cualquier reforma legislativa; tan sólo en alguna ley especial ha habido algún cambio en este ámbito, y únicamente para establecer algún nuevo supuesto de retención. Sin embargo, tanto dentro como fuera de nuestro país han podido apreciarse en los últimos años movimientos muy significativos en esta materia, inscritos en ocasiones en reformas o iniciativas más ambiciosas, afectantes al Derecho de las garantías mobiliarias, cuyo papel se ha visto indudablemente reforzado a raíz de la crisis inmobiliaria que ha venido afectando a las principales economías del mundo últimamente. A resultas de ello se constata que el derecho de retención posesoria es objeto de una renovada consideración y que existe una clara tendencia a regularlo de forma unitaria y a reforzar su eficacia jurídica al objeto de potenciar su función garantista. En este proceso resulta muy significativa la aportación del Draft Common Frame of Reference, cuyo Libro IX se dedica a regular las garantías reales sobre bienes muebles, incluyendo entre ellas al derecho de retención de la posesión. Por el indudable impacto que está llamado a tener este texto académico en los ordenamientos de los Estados miembros de la Unión Europea y el detalle con que regula este derecho, su análisis constituye el objeto central de este estudio, que también toma en consideración las regulaciones del derecho de retención en España y en otros países de interés.

The right of possessory retention over movable assets. A security interest on the rise

The right of possessory retention over movable assets is regulated in Spain by the Civil and Commercial codes in a fragmented and case by case basis, in a series of articles that have not been amended beyond special laws and only to establish new causes of possessory retention. But it is possible to observe, both in and outside Spain, that there has been important reform proposals in the area of regulation of security interests, the role of which has increased in importance in light of the housing crisis that the main world economies are currently going through. As a result, possessory retention rights are being reevaluated and today there is a clear tendency to regulate them as a whole and to enhance their legal effectiveness in order to strenghten their role as a collateral. In this process the contribution of the Draft Common Frame of Reference is very important. In its Title IX it regulates security interests, including possessory retention rights. The central object of this paper is the analysis of the detailed regulation included in the DCFR in light of the impact that such text will have on the legal systems of the different European member states as well as the study of the Spanish regulation of possessory rights and of the regulation of other countries which could be of interest.
