El reconocimiento de la personalidad jurídica en la construcción del Derecho de Sociedades
La personificación jurídica constituye la aportación del Derecho a la creación de empresas en las que los que aportan el capital fijo son más de unos pocos. Cuando el capital fijo es aportado por muchos y se aporta a una “empresa” en el sentido de la Economía Neoclásica, (la empresa es una “unidad especializada de producción”), convertir al grupo de cotitulares de los activos fijos en un “individuo”, esto es, sustituir la propiedad colectiva por la propiedad individual (la persona jurídica) es eficiente porque reduce los costes de producir e intercambiar lo producido en el mercado.
Las sociedades anónimas no comparten un tronco común con las compañías mercantiles preexistentes. Ambas han convergido sólo a partir de la segunda mitad del siglo XIX hasta configurar en la actualidad el Derecho de Sociedades como un conjunto sistemático valorativamente coherente.
La aparición de la sociedad anónima en el siglo XVII afecta no solo a las relaciones entre los comerciantes y a las relaciones de éstos con terceros, sino a la estructura de la propiedad de los activos empleados en la empresa común.

Legal personality as a building block of Company law
The legal personification of the firm is the contribution made by the Law to the creation of companies where fixed capital is contributed by more than a few. In order to reap economies of scale in the investment of capital, co-owners must become members of a fictious individual, “the legal person”. Substituting individual ownership (the company) for collective ownership is efficient because it reduces the costs of producing and exchanging the produce in the market.
Corporations do not share a common trunk with the preexisting commercial companies. Both have converged only from the second half of the nineteenth century until both became a value-coherent systematic Company Law.
The appearance of the corporation in the seventeenth century affects not only to the relations among members and third parties, but also to the structure of the ownership of the assets employed in the production by the firm.
